Welcome to The Gathered Vine. These Terms of Service ("Terms") govern your use of thegatheredvine.com (the "Site") and any purchases made through it. By accessing the Site or placing an order, you agree to be bound by these Terms. Please read them carefully — if you do not agree, please do not use the Site.

1. Who we are

"The Gathered Vine," "we," "us," and "our" refer to The Gathered Vine, LLC (or its operating affiliate), a limited liability company organized under the laws of the Commonwealth of Virginia, with its principal place of business in Virginia.

DRAFT NOTE — REMOVE BEFORE PUBLISHING: This entity must be filed with the Virginia State Corporation Commission (Articles of Organization, Form LLC-1011) before this document goes live. If publishing before filing is complete, replace this section with your actual operating name (sole proprietor / DBA) and remove all "LLC" references throughout this document. Operating under an unfiled LLC name is misrepresentation.

"You" and "your" refer to any visitor to the Site or customer of The Gathered Vine.

2. Eligibility

By using the Site or placing an order, you represent that you are at least 18 years of age (or the age of majority in your jurisdiction) and have the legal capacity to enter into a binding contract. We reserve the right to refuse service, cancel orders, or terminate accounts where this representation is inaccurate.

3. Acceptance of orders

When you place an order, you are making an offer to purchase, which we may accept or decline at our sole discretion. No contract of sale is formed until we issue an order confirmation email and charge your payment method.

We reserve the right to cancel, limit, or refuse any order — including but not limited to orders that appear:

To contain pricing or descriptive errors,
To be placed by unauthorized or suspected fraudulent users,
To exceed reasonable household quantities,
To be from jurisdictions where we do not ship, or
To violate these Terms.

If we cancel an order after payment, we will issue a full refund to the original payment method.

4. Pricing, errors, and availability

We make reasonable efforts to ensure pricing and product descriptions are accurate, but errors occur. In the event of a pricing or descriptive error, we reserve the right to cancel the order at any time before shipment, even after payment has been processed. You will be promptly refunded if we cancel for this reason.

Product availability is not guaranteed. Listed items may sell out between the time an order is placed and when it is processed. If we cannot fulfill an item, we will notify you and refund the affected portion of your order.

5. Product photographs and descriptions

All product photographs are illustrative. Because every Gathered Vine piece is handcrafted from natural materials, the item you receive may differ in color, texture, vine pattern, size, and finish from the photographs shown. These natural variations are inherent to handmade work and are not defects. See our Refund Policy for details.

6. Payments

We accept the payment methods displayed at checkout. By providing payment information, you represent that you are authorized to use the payment method and that the information you provide is accurate.

Charges are processed at the time of order acceptance. All prices are listed in U.S. dollars unless otherwise noted, and applicable sales tax is added at checkout based on shipping destination.

7. Shipping, delivery, and risk of loss

Shipping, processing times, and delivery terms are described in our Shipping Policy. Estimated delivery dates are estimates only and are not guaranteed. Once we tender a package to the carrier, title to the goods passes to you upon shipment, subject to applicable consumer-protection law. Carrier liability is the primary remedy for lost or damaged packages in transit; we assist with carrier claims as described in our Refund Policy.

8. Intellectual property

All content on the Site — including but not limited to product photographs, written descriptions, brand marks, logos, page design, graphics, video, and code — is the exclusive property of The Gathered Vine, LLC or its licensors and is protected by U.S. and international copyright, trademark, and other intellectual-property laws.

You may not copy, reproduce, distribute, modify, create derivative works of, publicly display, or commercially exploit any content from the Site without our prior written permission. Use of our images or product photographs to list our products on third-party marketplaces is expressly prohibited.

"The Gathered Vine" and any associated logos are trademarks of The Gathered Vine, LLC.

9. User-generated content

If you submit reviews, photographs, comments, or any other content to the Site or our social channels (collectively, "User Content"), you grant The Gathered Vine a non-exclusive, worldwide, royalty-free, perpetual, irrevocable, sublicensable license to use, reproduce, modify, publish, and display that User Content in connection with our business, including in marketing materials, without further compensation or attribution.

You represent that you own or have the necessary rights to your User Content and that it does not violate any third party's rights or any law.

We reserve the right to remove any User Content at our sole discretion and without notice.

10. Prohibited uses

You agree not to:

Use the Site for any unlawful purpose or in violation of these Terms;
Attempt to interfere with, compromise, or disable the Site or its security;
Use automated tools (bots, scrapers, crawlers) to access the Site without prior written permission;
Reverse-engineer or attempt to extract source code;
Misrepresent your identity or impersonate any person;
Submit fraudulent payment information or engage in chargeback fraud;
Harass, threaten, or abuse our staff in any communication channel.

Violation of this section may result in account termination, order cancellation, and referral to law enforcement.

11. Disclaimer of warranties

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, the Site and all products are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the Site will be uninterrupted, error-free, or free of viruses or other harmful components. We do not warrant that any product will meet your subjective expectations of color, texture, or visual appearance beyond reasonable variation tolerance.

Nothing in this section is intended to exclude or limit any consumer right that cannot lawfully be excluded under applicable law (including the Magnuson-Moss Warranty Act and applicable state consumer-protection statutes).

12. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, in no event will The Gathered Vine, LLC, its members, officers, employees, contractors, or affiliates be liable for:

Any indirect, incidental, consequential, special, exemplary, or punitive damages, including but not limited to lost profits, lost data, or business interruption, even if advised of the possibility of such damages;
Any damages arising from delays in shipping, third-party carrier conduct, or events beyond our reasonable control;
Any damages arising from User Content, third-party links, or third-party services.

Our total aggregate liability to you for any claim arising out of or relating to the Site, your use of it, or any product purchased through it, shall not exceed the amount you paid to us for the product giving rise to the claim, or $100, whichever is greater.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, our liability is limited to the maximum extent permitted by law.

13. Indemnification

You agree to defend, indemnify, and hold harmless The Gathered Vine, LLC and its members, officers, employees, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to:

Your use of the Site or any product purchased,
Your violation of these Terms,
Your User Content,
Your violation of any law or any third-party right.

14. Governing law

These Terms are governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

15. Dispute resolution — mandatory arbitration and class-action waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

Except for disputes that may be brought in small-claims court for less than the court's jurisdictional limit, any dispute, claim, or controversy arising out of or relating to these Terms, the Site, or any product purchased shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules then in effect.

The arbitration shall take place in [YOUR COUNTY], Virginia or remotely at the arbitrator's discretion. (Set this to your home/principal-office county — keeping the venue near you adds friction that deters frivolous claims.) The arbitrator's decision is final and binding.

YOU AND THE GATHERED VINE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. The arbitrator may not consolidate the claims of multiple parties or preside over any form of representative or class proceeding.

If any portion of this Section 15 is found unenforceable, the remainder shall remain in effect, and the unenforceable portion shall be severed.

You may opt out of this arbitration agreement by sending written notice to jordand.prg@gmail.com within 30 days of your first order, stating clearly that you opt out of arbitration. Opting out will not affect any other portion of these Terms.

16. Force majeure

We are not liable for any failure or delay in performance due to causes beyond our reasonable control, including but not limited to acts of God, natural disasters, fire, flood, pandemic, war, terrorism, civil unrest, labor disputes, carrier failures, supply-chain disruption, government action, internet or utility outages, or shortage of materials.

17. Severability

If any provision of these Terms is held to be invalid or unenforceable, that provision shall be severed and the remaining provisions shall remain in full force and effect.

18. Entire agreement

These Terms, together with our Refund Policy, Shipping Policy, Privacy Policy, and Legal Notice, constitute the entire agreement between you and The Gathered Vine, LLC and supersede any prior agreements or understandings, whether written or oral.

19. Modifications

We may update these Terms at any time by posting a revised version on the Site. The "Last updated" date at the top reflects the most recent revision. Your continued use of the Site after a revision constitutes acceptance of the revised Terms. For material changes, we will provide reasonable advance notice where practicable.
